Terms & Conditions

1. Introduction

These Terms and Conditions ("Terms") govern the provision of services by Mercury Marketing ("we," "us," or "our") to you ("Client," "you," or "your"). By using our services, you agree to be bound by these Terms. Please read them carefully.

2. Services Provided

Mercury Marketing provides comprehensive digital marketing solutions aimed at enhancing the online presence of small businesses. Our services include, but are not limited to:

  • Website Development and Design: Creation of responsive, user-friendly websites tailored to your brand identity.

  • Social Media Management: Management of your social media accounts to increase engagement and brand awareness.

  • Digital Marketing Campaigns: Development and execution of online marketing strategies, including email marketing, pay-per-click advertising, and content marketing.

  • Search Engine Optimization (SEO): Optimization of your website to improve search engine rankings and visibility.

  • Content Creation: Production of high-quality content such as blog posts, videos, and graphics to engage your target audience.

Specific services to be provided will be detailed in a separate Service Agreement between Mercury Marketing and the Client.

3. Client Responsibilities

To ensure the effective delivery of our services, you are responsible for:

  • Providing Accurate Information: Supplying all necessary materials, data, and information required to perform the services.

  • Timely Communication: Responding promptly to our requests for approvals, feedback, and additional information.

  • Content Ownership: Ensuring that any content or materials you provide do not infringe on third-party rights or violate any laws.

  • Access Provision: Granting necessary access to your website, social media accounts, or other platforms as required.

Failure to fulfill these responsibilities may impact project timelines and outcomes. Mercury Marketing is not liable for delays or issues arising from your failure to meet these obligations.

4. Payment Terms

  • Fees and Invoicing: Payment terms, including fees, deposits, and payment schedules, are outlined in the Service Agreement. Invoices will be issued according to the agreed schedule.

  • Payment Methods: We accept payments via PayPal.

  • Late Payments: Payments not received by the due date may incur a late fee of [Insert Late Fee Percentage or Amount]. We reserve the right to suspend or terminate services until all outstanding payments are received.

  • Refunds and Cancellations: Refund policies are specified in the Service Agreement. Generally, payments are non-refundable unless otherwise stated.

5. Intellectual Property

  • Client Ownership: Upon full payment, you will own the rights to the final deliverables created specifically for your brand.

  • Mercury Marketing's Rights: We retain ownership of any pre-existing intellectual property and methodologies used during the project.

  • Portfolio Use: Unless expressly prohibited in writing, we reserve the right to display non-confidential work samples in our portfolio and marketing materials.

6. Limitation of Liability

  • No Guarantee of Results: While we strive to deliver the best possible outcomes, we do not guarantee specific results such as increased sales or search engine rankings.

  • Limitation of Damages: Mercury Marketing shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services.

  • Maximum Liability: Our total liability shall not exceed the total amount paid by you for the services related to the claim.

7. Modifications and Termination

  • Amendments to Terms: We may modify these Terms at any time. Changes will be communicated to you and will become effective immediately for new clients and upon renewal for existing clients.

  • Service Changes: We reserve the right to modify or discontinue any aspect of our services without prior notice.

  • Termination: Either party may terminate the Service Agreement by providing [Insert Notice Period, e.g., 30 days] written notice. Upon termination, you are responsible for payment of all services rendered up to the termination date.

8. Confidentiality

  • Confidential Information: Both parties agree to keep all confidential information private and not to disclose it to any third parties without prior written consent.

  • Exceptions: Confidentiality obligations do not apply to information that is publicly available or required to be disclosed by law.

9. Governing Law

These Terms and any related Service Agreements are governed by and construed in accordance with the laws of the Province of British Columbia. Any disputes arising from these Terms shall be resolved exclusively in the courts of British Columbia.

10. Entire Agreement

These Terms, along with the Service Agreement, constitute the entire agreement between you and Mercury Marketing and supersede all prior understandings and agreements.

11. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

12. Acceptance

By engaging with Mercury Marketing and/or signing the Service Agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
